SECP Compliance: What Every Company Owner Needs to Know

Registering a company with the Securities and Exchange Commission of Pakistan (SECP) is only the first step. Staying in good standing takes regular, timely filings, and many owners learn this only when a penalty notice arrives. This guide covers the essentials of SECP compliance and how to avoid common mistakes.

What Is SECP Compliance?

SECP compliance means meeting the ongoing legal obligations of a company registered under the Companies Act, 2017. It applies to private limited companies, public companies and single-member companies. It covers holding meetings, filing returns, reporting changes and keeping accurate records. A compliant company finds it easier to bank, raise financing, win investor confidence and avoid being struck off the register.

The Key Requirements

1. Annual General Meeting (AGM). Companies must hold an AGM within four months (about 120 days) of the financial year-end. For a 30 June year-end, that means 31 October. The AGM date drives the next deadline.

2. Annual return. Under Section 130, every company files an annual return once a year. Companies with share capital use Form A, and those without use Form B. Most companies must file within 30 days of the AGM, and listed companies may get an extension of up to 45 days. The return confirms directors, shareholders, share capital and the registered office. Even a dormant company must file.

3. Reporting changes. Under Section 197, changes in directors or officers must be reported within 15 days. A change of registered office follows the same 15-day discipline. Late reporting of routine changes is one of the most common compliance failures.

4. Beneficial ownership disclosure. This is now an enforcement priority. Section 123A requires companies to maintain a register of ultimate beneficial owners and keep it accurate. The declaration of compliance (Form 19) is submitted with the annual return. An individual holding 25% or more of the shares or voting rights may qualify as an ultimate beneficial owner. SECP recently sent notices to 28,761 companies that hadn’t filed it, with penalties of up to PKR 10 million each.

5. Statutory registers and records. Registers of members, directors, charges and beneficial owners, plus minutes of meetings, must be kept current. They are rarely checked until a bank, auditor or regulator asks, and they are hard to rebuild afterwards.

The Cost of Getting It Wrong

Late filing of the annual return attracts a default surcharge under Section 130(4) and general penalties under Section 473. Penalties grow with the delay, and prolonged default can lead to legal notices and the company being struck off. Reviving a struck-off company costs far more than filing on time.

SECP Is Not FBR

A frequent mistake is assuming a tax return covers SECP obligations. The two regulators run on separate calendars. SECP governs your company’s legal existence, while the Federal Board of Revenue (FBR) governs your NTN, income tax and sales tax. A company can be perfectly tax-compliant and still be in default with SECP, and the reverse is also true.

Practical Tips

  1. Build a compliance calendar covering the year-end, AGM, annual return and the 15-day windows.
  2. Start early. Gather financial statements, shareholder details and resolutions a month ahead.
  3. Update registers as changes happen, not once a year.
  4. Use SECP eServices. Most filings are electronic, and each director needs a registered account.
  5. Get professional help when unsure. A wrong filing can cause as many problems as a late one.
